Corporate Social Responsibility (CSR) Certificate

Form CSR-1: eForm CSR-1 is required to be filed pursuant to Section 135 of the Companies Act, 2013 and Rule 4 (1) and (2) of the Companies (Corporate Social Responsibility Policy) Rules, 2014. In accordance with the Companies (Corporate Social Responsibility Policy) Amendment Rules, 2021, company can undertake CSR activities either itself or through entities defined under Rule 4 sub rule (1). These companies/entities are required to mandatorily register themselves with the central government for undertaking any CSR activity by filing the e-form CSR-1 with the Registrar of Companies.

Section 135 of the Companies Act, 2013:

Every company which has Net Worth of Rs.500 Crore or More, Turnover of Rs.1000 Crore or more or a Net Profit of Rs.5 Crore or more during the immediately preceding financial year, shall ensure to spend at least 2 percent of its average net profits.

Donations to NGOs:

NGOs can raise donations from corporates under Corporate Social Responsibility as Corporates are mandatorily required to spend 2 percent of its average net profits. The corporates can donate this amount to NGOs involving Corporate Social Responsibility activities.

Registration of Entities with MCA for undertaking CSR Activities:

The following entities have to make an application with the Ministry of Corporate Affairs, Government of India to undertake the CSR Activities and approach eligible corporates for CSR funds.

Pursuant to section 135 of the Companies Act, 2013 and Rule 4(1) and (2) of Companies (CSR Policy) Rules, 2014, the following entities can be registered for undertaking CSR Activities:

  • Company established under Section 8, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act, 1961.
  • Company established under Section 8, registered under Section 12A and approved under Section 80G of the Income Tax Act, 1961.
  • Registered public trust, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act,1961.
  • Registered Public trust, registered under Section 12A and approved under section 80G of the Income Tax Act, 1961.
  • Registered society, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act, 1961.
  • Registered society, registered under Section 12A and approved under Section 80G of the Income Tax Act, 1961.
  • Company established under Section 8 or registered Trust or registered Society established by the Central Government or State Government.
  • Entity established under an Act of Parliament or State Legislature.

    6. Directors/Members/Trustees Mobile Numbers linked with their Aadhar
    7. Incase of Foreign direcrtors, International Passport is mandatory

How to get CSR License - CSR Registration Process

You can get the CSR Certificate in the following three steps.

    Digital Signature Certificates

    Through eMudhra - One Hour Job

    Application for CSR Certificate is completely online. To get CSR Certificate, the director/member/trustee of the entity has to sign documents digitally using Class-III Digital Signature Certificate (DSC). We will apply Class-III DSCs through eMudhra or other Digital Signature Certificate provider Online. We will attest and submit your documents with eMudhra or other Digital Signature Certificate provider and get your DSCs approved and download the same for signing purpose. Apart from director/member/trustee, a practicing professional such as Company Secretary or Chartered Accountant has to mandatorily digitally sign and attest the documents to get your Company Incorporated. We also get this done with our associated CA/CS professionals.

    Form CSRS-1

    Through MCA Portal - 1 Day

    Once the DSCs are approved, we will then prepare the eForm CSR-1, attach the attested documents and upload it with the MCA portal.

    Certificate of Registration

    Through eMail - 1 Day

    3. On successful submission of the eForm CSR-1, SRN will be generated and shown to the user which will be used for future correspondence with MCA. When an eForm is successfully processed, an acknowledgement of the same is sent to the user in the form of an email to the email id of the entity. Further, a digitally signed approval letter along with CSR Registration number with Format CSRXXXXXXXX where X represents system generated unique sequential number will be sent to the FO User as well as the email ID of the entity as entered in the eform.
